In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Mississippi is a "foreign LLC" from Mississippi's perspective. The same applies to corporations and other entity types.

Mississippi Code § 79-29-1003 puts registration ahead of any business an outside LLC transacts in Mississippi. Section 79-29-1015 lists eleven activities that aren't transacting business, such as interstate commerce, holding real or personal property and nothing else, mail-order sales accepted outside Mississippi, a bank account, member meetings, and a one-off deal wrapped up in a month. The Secretary of State adds a practical test: once your employees spend 30 days here in a given year, register, and contractors or businesses working with state agencies may need to register sooner.

What a Mississippi Registered Agent Does for a Foreign Entity

The general process for registering an out-of-state entity in Mississippi:

1. Get a good standing certificate from home. You'll upload your home state's good standing (or existence) certificate, and the Secretary of State's guide wants it issued within the past six months.

2. Designate a Mississippi registered agent. You can use a commercial registered agent service or appoint an individual who lives in Mississippi.

3. Register online ($250). There's no paper form: in the Secretary of State's online system, choose "Register an Out-of-State Corporation, Nonprofit, LLC, Partnership or Business Trust." Many filings are approved immediately; the rest are usually reviewed within 24 hours. If your name is unavailable, give the name you'll use in Mississippi.

4. File the $250 annual report each spring. Foreign LLCs file between January 1 and April 15 every year, online only, for $250 (a Mississippi LLC pays nothing). Sixty days past due, revocation proceedings can begin.
